STEVEN SHARPE NAMED TO FOAMEX
BOARD OF DIRECTORS

LINWOOD, PENNSYLVANIA, April 27,
2001 - Foamex International
Inc. (Nasdaq: FMXI), the leading manufacturer of flexible polyurethane and
advanced polymer foam products, announced today that Steven Sharpe, 47, has
been elected to the Foamex Board of Directors.
In making the announcement, Foamex
Chairman Marshall S. Cogan said, "Steve has a solid background in corporate
restructuring and finance, enhanced by a reputation as a leading business
lawyer. We are very pleased and proud to have him join our board as we move
forward with our strategy to strengthen our capital structure and lay the
foundation for strategic growth."
An attorney by profession, Sharpe
has been Executive Vice President of The Kroll-O’Gara Company since 1998,
with responsibility for strategic planning, mergers and acquisitions. Prior
to joining Kroll, he was a senior partner in the Toronto law firm of Davies,
Ward & Beck. He has written and lectured extensively on corporate
restructuring, shareholder rights, securities regulation, corporate
governance and ethics.
Sharpe earned a Bachelor of Science
degree at the University of Western Ontario in 1974 and received his LL.B.
from the Osgoode Hall Law School in Toronto in 1977. He serves on the boards
of directors of Security Technologies Group, Inc. and Altamira Investment
Services Limited. Sharpe has been active in philanthropic organizations for
more than two decades, with a special focus on services for children.
